Terms of Service

1. Agreement to Terms

By accessing or using The Leader's PRICE platform ("Service"), operated by HTB Consulting Group, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

The Leader's PRICE is an AI-powered leadership coaching platform designed to help managers and leaders grow through guided reflection, daily check-ins, and personalized coaching blueprints grounded in The PRICE Framework developed by Carlos Vasquez.

2. Description of Service

The Service provides:

• AI-powered leadership coaching responses ("Ask Carlos") grounded in The PRICE Framework
• Guided reflection stations (The Arena, The Mirror, The Anchor, The Mission, The Commitment)
• Daily check-ins, journaling, and PRICE pillar nudges
• Personalized AI coaching blueprints written in Carlos Vasquez's voice and methodology
• Progress tracking, PRICE profile scoring, and weekly check-in emails (Pro and Team plans)
• Team management dashboard and analytics (Team plan)

3. Subscription Plans and Billing

We offer three subscription tiers:

• Free: One reflection and one AI coaching blueprint at no charge.
• Pro ($19/month): Unlimited reflections, unlimited Ask Carlos sessions, weekly check-in emails, and full PRICE profile access.
• Team ($199/month): Everything in Pro, plus 10 seats and a manager dashboard with team analytics.

Subscriptions are billed monthly and automatically renew unless cancelled. All payments are processed securely through Stripe. You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of the current billing period. We do not offer refunds for partial billing periods.

4. Referral Program

Pro subscribers may share a unique referral link. When a new user signs up using your referral link and upgrades to a paid plan, both parties receive one free month of Pro access. Referral rewards are applied as account credits and cannot be exchanged for cash. We reserve the right to modify or discontinue the referral program at any time.

5. AI-Generated Content Disclaimer

The coaching content, blueprints, and responses generated by the Service are powered by artificial intelligence and are inspired by the methodology and voice of Carlos Vasquez. This content is provided for educational and personal development purposes only. It does not constitute professional therapy, licensed counseling, medical advice, or legal advice.

AI-generated responses may occasionally be inaccurate, incomplete, or not applicable to your specific situation. Always apply your own judgment. The Company is not liable for decisions made based on AI-generated content.

6. User Accounts and Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Providing accurate information when creating your account
• Using the Service only for lawful purposes and in accordance with these Terms

You may not share your account with others, use the Service to harass or harm others, attempt to reverse-engineer or scrape the Service, or use automated tools to access the Service without our written permission.

7. Intellectual Property

All content, frameworks, methodologies, and materials on the Service — including The PRICE Framework, The Leader's PRICE brand, Carlos Vasquez's published works and voice system, and all software — are the intellectual property of HTB Consulting Group, LLC and Carlos Vasquez. You may not reproduce, distribute, or create derivative works without express written permission.

You retain ownership of the personal reflection content and journal entries you create. By using the Service, you grant us a limited license to process and store your content solely for the purpose of providing the Service to you.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by applicable law, HTB Consulting Group, LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time from your account settings.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Los Angeles County, California.
